Terms of Service

Effective date: September 6, 2026

These Terms of Service ("Terms") are an agreement between you and PackOS, Inc. ("PackOS", "we", "us"). They cover this website at www.packospro.com, PackOS Checkout, PackOS Labels, the PackOS Enterprise early-access pages, and the tools on this website (together, the "Services"). By using the Services you accept these Terms. If you do not accept them, do not use the Services.

1. Agreement and eligibility

"You" means the person or the organization using the Services.

You may use the Services only if you are at least 18 years old and can enter into a binding contract.

If you use the Services for an organization, you confirm that you have authority to bind that organization. "You" then means that organization.

Our Privacy Policy explains how we handle information. It is part of these Terms.

2. The Services

2.1 PackOS Checkout

PackOS Checkout is a Shopify app. It runs a 3D bin-packing engine across your own box library, picks the box an order will ship in, and quotes live USPS, UPS and FedEx rates for that box at your checkout. Shopify is the platform it works with today. Support for WooCommerce and other platforms is announced as coming soon and is not part of the Services until it ships.

2.2 PackOS Labels

PackOS Labels is a web application at app.packospro.com. It does not require Shopify and it does not require a carrier contract of your own. You can connect a store, upload a CSV file, or type an address. You can compare rates from USPS, UPS, FedEx, DHL Express, DHL eCommerce and Canada Post. You can buy labels one at a time or in batches. You can void an unused label for a carrier-confirmed refund that returns to your balance. You can see what each shipment made or lost.

The PackOS Labels software is free, always. There is no subscription and no markup on postage. You pay for labels from a prepaid balance. Section 6 governs that balance.

2.3 PackOS Enterprise

PackOS Enterprise is a modular AI supply-chain optimization suite led by its flagship module, together with pick, pack and storage software and last-mile routing. It is offered through a negotiated enterprise contract. The self-serve path is marked coming soon, and the site takes early-access requests only.

These Terms cover your use of the Enterprise pages on this website and any early-access request you send. If PackOS and your organization sign an enterprise contract, that contract governs the Enterprise services and these Terms do not.

2.4 Website tools

This website offers a shipping rate calculator that emails a result to the address you type, a package tracking page that sends a tracking number to the PackOS API and on to carriers, a demo scheduler, a contact form, an Enterprise early-access form, and a newsletter you confirm by email. These tools are offered as a convenience and carry no commitment beyond what they do.

2.5 Changes, coming soon and beta

We may change, suspend or discontinue any part of the Services. A feature described as coming soon, in beta, or in early access carries no commitment. It may change, it may be withdrawn, and it may never ship.

3. Accounts

You must give accurate, current and complete information when you register, and keep it accurate.

You must keep your credentials confidential and must not share them.

You are responsible for all activity under your account.

Tell us at support@packospro.com as soon as you suspect unauthorized use of your account.

We may suspend or terminate an account that carries false or misleading information.

4. Acceptable use

You agree to use the Services only for lawful purposes and in line with these Terms. You must not:

  • Use the Services in a way that breaks any applicable local, national or international law or regulation.
  • Try to gain unauthorized access to any part of the Services, any server, or any network.
  • Reverse engineer, decompile, disassemble, or otherwise try to derive the source code of the Services.
  • Upload, transmit or distribute malicious code, viruses, or harmful data.
  • Use bots, scrapers, or data-mining tools without our prior written consent.
  • Impersonate any person or entity, or misrepresent your affiliation with one.
  • Disrupt, degrade, or interfere with the integrity or performance of the Services.
  • Use the Services to send unsolicited commercial messages or spam.
  • Use the Services to ship items that are prohibited, illegal, hazardous or restricted by law or by the carrier handling the shipment.
  • Give false shipping information, including false weights, dimensions, addresses, contents or declared values.
  • Try to defeat a rate limit, the Shipping Credit purchase cap, or any other control we place on the Services.

5. PackOS Checkout: billing, trial and plans

PackOS Checkout is offered on five plans. The four self-serve plans are billed through Shopify: the charge appears on your Shopify bill and Shopify collects it, and each carries a 14-day free trial on the plan you chose. The Enterprise plan is arranged with us and invoiced on the terms we agree with you.

At the end of the trial you either keep the plan or the account pauses. A paused account is not charged and no data is lost.

Each plan carries a monthly calculation allowance. The allowance for each plan is shown on our pricing page.

You can pay monthly or annually. Annual billing saves 10% against the monthly price.

A move from a monthly plan to an annual plan takes effect on your next billing cycle. A move from an annual plan to a monthly plan takes effect at the end of the annual term.

You can cancel at any time by uninstalling the app or through Shopify. A monthly plan ends at the close of the billing period. An annual plan keeps access through the term you have paid for.

We will give at least 30 days' notice before a price change takes effect for you.

Refunds for PackOS Checkout are governed by Shopify's billing terms, except where law requires otherwise.

6. PackOS Labels and Shipping Credit

The prepaid balance in PackOS Labels is called the wallet on this website and Shipping Credit in the application. They are the same thing. This section calls it Shipping Credit.

6.1 Definition

Shipping Credit is a prepaid balance held in your PackOS Labels account that may be used only to buy shipping labels and related services through PackOS Labels. Shipping Credit is a closed-loop prepaid arrangement. It is not a deposit, a bank account, a money order, a gift card, a stored value card, or a general-purpose payment instrument.

6.2 Non-refundable

Shipping Credit is non-refundable and cannot be redeemed for cash. Once purchased, it may only be applied to shipping labels and related services bought through PackOS Labels. PackOS will not, under any circumstance:

  • issue a cash refund of unused Shipping Credit;
  • transfer Shipping Credit to another person, entity or PackOS account;
  • allow Shipping Credit to be used for goods or services other than shipping labels and related services bought through PackOS Labels;
  • allow Shipping Credit to be used at any merchant other than PackOS, Inc.

A label voided under carrier rules restores the label cost to your Shipping Credit balance. That restored amount is also non-refundable for cash and stays subject to this section.

6.3 Purchase limit

The most Shipping Credit that any one PackOS account may buy in any rolling 24 hours is $2,000 USD. A purchase that would take the rolling total over that limit is rejected.

6.4 Expiration and account termination

Shipping Credit does not expire while your PackOS Labels account is active. If your account ends for any reason, whether you close it, we suspend it, or you breach these Terms, any remaining Shipping Credit is forfeited and is not refundable in cash or any other form. The only exception is where a non-waivable state law requires otherwise, in which case the refund that law requires applies.

6.5 No transfer

Shipping Credit belongs to your PackOS account. You may not sell, assign, transfer, gift or otherwise convey it to another person or account. An attempt to do so is void.

6.6 Auto-reload

If you turn on auto-reload, you authorize PackOS to charge your saved payment method for the reload amount you configured whenever your balance falls below the threshold you configured. Every auto-reload purchase is subject to the purchase limit in section 6.3 and to every other term in this section. You may turn auto-reload off at any time in your account settings.

6.7 Carrier services and resale

When you use Shipping Credit to buy a label, PackOS acts as a reseller of shipping services bought from licensed common carriers and from a licensed shipping intermediary. The carrier, not PackOS, transports your shipment.

6.8 No money transmission

Shipping Credit is not a deposit account and is not stored value usable in the general economy. PackOS does not transmit money on your behalf, does not hold customer funds for the benefit of third parties, and does not provide money services as defined under federal or state law. PackOS does not maintain bank accounts on your behalf.

7. Shipping responsibilities and carrier terms

You are the shipper. PackOS is not.

You are responsible for accurate weights, dimensions, addresses, contents and declared values on every shipment you tender.

Each carrier's own terms, tariffs and service guides apply to every label bought through the Services, and those terms are part of your agreement for that shipment.

Carriers may re-weigh, re-measure and re-rate a shipment after they accept it. You authorize PackOS to deduct the resulting adjustments and surcharges from your Shipping Credit balance or to charge your payment method for them.

Customs paperwork, duties, taxes and export compliance are yours.

PackOS does not insure shipments. A claim for loss or damage is made with the carrier under the carrier's rules. PackOS may pass a claim along to the carrier, but PackOS does not decide it.

Transit times shown anywhere in the Services are carrier estimates, not guarantees.

8. Rates and box recommendations

A rate shown in the Services is a live carrier quote at the moment it is shown. It may change before you buy the label.

A box recommendation is a computed suggestion. You decide what actually ships and in what box.

PackOS does not guarantee that a quoted rate, a recommended box, or a margin figure will match what a carrier finally charges.

9. Payments, chargebacks and fraud

You authorize PackOS to charge your chosen payment method for the amounts you buy.

Card details are handled by a third-party payment processor. PackOS does not store your card number.

If a payment fails, we may suspend access to paid features until the outstanding amount is settled.

A chargeback on a Shipping Credit purchase may result in suspension of your account, and we may offset the disputed amount against your balance.

We may ask you to verify your identity or your business, and we may refuse or limit a purchase to prevent fraud or abuse.

10. Intellectual property and license

The Services and everything in them, including software, text, displays, images, logos and data structures, are owned by PackOS or its licensors and are protected by intellectual property law.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. That license does not let you sublicense, sell, resell, modify or create derivative works from the Services, or use the PackOS name or branding, without our prior written consent.

If you send us feedback, a suggestion or a feature request, we may use it without obligation to you and without payment. You are not required to send us feedback.

11. Your content and data

"Your Content" means the data, text, files, images and other content you upload to or transmit through the Services. You keep ownership of it.

You grant PackOS a worldwide, non-exclusive, royalty-free license to use, store, reproduce and process Your Content, only to provide, maintain and secure the Services.

You confirm that Your Content does not infringe anyone's rights and does not break any law. We may remove content that breaks these Terms.

When PackOS processes your shoppers' or recipients' personal information for you, PackOS acts as your service provider and processor and acts on your instructions. You are the controller of that data. You are responsible for having a lawful basis to collect it, for telling those people what happens to it, and for your own privacy policy.

12. Third-party services

The Services depend on and connect to services PackOS does not run. These include Shopify, carriers, a shipping intermediary, a payment processor, the demo scheduler and its calendar provider, and analytics and advertising providers.

Those parties' own terms and privacy policies govern what they do. PackOS does not control them and is not responsible for them.

13. Disclaimer of warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. PACKOS DOES NOT WARRANT THAT A RATE QUOTE, A BOX RECOMMENDATION, A SAVINGS FIGURE, A MARGIN FIGURE, A TRANSIT TIME OR ANY OTHER OUTPUT OF THE SERVICES WILL BE ACCURATE, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

Testimonials and figures on this website are examples of what particular customers reported. Results vary.

14. Limitation of liability

Damages we are not liable for. To the maximum extent permitted by law, PackOS and its affiliates, officers, directors, employees, agents, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost savings, lost data, loss of goodwill, business interruption, or the cost of substitute goods or services, arising out of or relating to these Terms or the Services. This applies under every theory of liability, including contract, tort (including negligence), strict liability and statute. It applies even if PackOS was advised that such damages were possible.

Shipping and carrier exclusions. PackOS is not liable for any act or omission of a carrier or of the shipping intermediary, including loss, damage, delay, misdelivery or non-delivery of a shipment. PackOS is not liable for carrier re-rating, adjustments or surcharges. PackOS is not liable where a rate quote or a box recommendation differs from what a carrier finally charges or from what you finally ship. PackOS is not liable for customs, duties, taxes or regulatory holds. PackOS is not liable for your own packaging, labeling, declarations or choice of carrier service. PackOS is not liable for downtime or failure at Shopify, at a carrier, or at any other third party.

Cap on liability. PackOS's total cumulative liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of (a) the fees you paid to PackOS for the Service that gave rise to the claim in the twelve months before the event, excluding any amount that was passed through to a carrier or to the shipping intermediary as postage or label cost, and (b) one hundred US dollars ($100). Postage and label cost are amounts PackOS collects from you and pays on to a carrier, so they are not fees paid to PackOS for the purpose of this cap.

Basis of the bargain. These limits are a fundamental part of the agreement between you and PackOS, and the prices we charge reflect them. They apply even if a remedy in these Terms fails of its essential purpose.

Some jurisdictions do not allow some of the exclusions or limits above. Where that is the case, PackOS's liability is limited to the smallest amount the law there permits.

15. Indemnification

You agree to defend, indemnify and hold harmless PackOS and its officers, directors, employees and agents against any claim, damage, liability or expense arising out of:

  • your use or misuse of the Services;
  • your breach of these Terms;
  • Your Content;
  • your violation of anyone else's rights;
  • the shipments you tender and the items you ship, including their contents, packaging, labeling and declarations;
  • a claim brought by your own customer or shipment recipient.

16. Term, suspension and termination

These Terms apply for as long as you use the Services.

You may stop using the Services at any time, and may close your account or uninstall the app.

We may suspend or terminate your access, with or without cause, and we will act proportionately where we can. Suspected fraud, a legal requirement, or a breach of section 4 may mean acting without notice.

On termination your right to use the Services ends immediately. Section 6.4 governs any remaining Shipping Credit.

Sections 6, 7, 8, 10, 11, 13, 14, 15, 17, 18 and 19 survive termination.

17. Governing law and dispute resolution

These Terms are governed by the law of the State of Delaware, without regard to its conflict-of-law rules.

Before starting a formal proceeding, you agree to try to resolve the dispute informally by writing to legal@packospro.com and giving us 30 days to respond.

If that does not resolve it, the dispute is settled by binding individual arbitration under the Commercial Arbitration Rules of the American Arbitration Association, seated in Delaware.

Either of us may instead bring an individual claim in small-claims court if the claim qualifies there.

You may opt out of arbitration by emailing legal@packospro.com within 30 days of first accepting these Terms. An opt-out affects only arbitration; the rest of these Terms still applies.

CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS. YOU AND PACKOS EACH WAIVE ANY RIGHT TO BRING OR JOIN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION, AND EACH WAIVE ANY RIGHT TO A JURY TRIAL.

A claim arising out of or relating to these Terms or the Services must be brought within one year of the event that gave rise to it, unless the law where you are does not permit that limit.

18. Changes to these Terms

We may change these Terms. For a material change we will give at least 14 days' notice by email or in the Services before it takes effect.

If you keep using the Services after a change takes effect, you accept the changed Terms. If you do not accept them, stop using the Services.

19. General

  • Entire agreement: these Terms and the Privacy Policy are the whole agreement between you and PackOS about the Services, except where an enterprise contract governs instead.
  • Severability: if a provision is held invalid or unenforceable, the rest stays in force and the invalid provision is enforced to the greatest extent the law allows.
  • Waiver: not enforcing a right is not a waiver of it.
  • Assignment: you may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor in a merger, acquisition or asset sale.
  • Force majeure: neither party is liable for a failure caused by something beyond its reasonable control.
  • Electronic communications: you consent to receive notices and agreements from us electronically, and an electronic record satisfies any requirement that a communication be in writing.
  • Export compliance: you must comply with export control and sanctions law, and must not use the Services where that law forbids it.
  • Notices: legal notices to PackOS go to legal@packospro.com and to the postal address below. Notices to you go to the email address on your account.
